Terms of Service

1. Overview of Services

PrismCore AI LLC ("PrismCore AI," "we," "our," or "us") provides real estate professionals ("Clients," "you," or "your") with done-for-you marketing systems including:

Meta advertisement management and performance tracking,
Custom-built lead generation funnels,
Automated qualification and appointment booking via SMS AI assistants,
Dashboards and interfaces for lead tracking,
Basic landing page builds for ads (not full websites),
Lead form creation and integration,
Onboarding, system setup, and tech support.

We retain ownership of the backend systems, including any automations, code, and workflows used to deliver our services. Clients may not replicate, resell, or distribute our systems or intellectual property. Upon cancellation, lead data can be exported at the client’s request; however, the full underlying system is not transferred unless otherwise agreed.

Clients maintain ownership of their own lead data, and we act as a service provider (data processor) on your behalf. We do not sell or share your lead data with third parties. Clients are responsible for handling exported lead data in compliance with applicable privacy laws.

2. Client Responsibilities

Clients are required to:

Create and maintain their own Meta ad accounts and grant PrismCore AI full access,
Maintain their own Airtable and Calendly accounts,
Use our services solely for the marketing and operation of their own real estate business,
Not resell, redistribute, or clone the system provided,
Not sell or exploit the collected lead data beyond internal business use.

You agree not to use our systems for spam, harassment, unlawful behavior, or any activity in violation of applicable laws or advertising platform terms.

For scheduling, we recommend clients use their own Calendly account and grant us access. Alternatively, clients may be added to a PrismCore AI Calendly team account where applicable.

3. Payment Terms

Billing Options:

Pricing, billing cycles, and service terms are communicated prior to onboarding and may vary based on the client’s selected package. All agreed pricing will be outlined in your client agreement or invoice at the time of purchase.

Refund Policy: If PrismCore AI fails to deliver 10 qualified appointments within the initial 90 days of service, the client is eligible for a 100% refund. A "qualified appointment" is defined as:

who schedules and attends an appointment and
Expresses genuine interest in buying or selling a property within a reasonable timeframe, and
Is not currently represented by another real estate agent.

Lead qualification is logged via appointment booking tools and tracked within the system. By accepting these terms, you acknowledge and agree to this definition.

Attendance tracking is based on data logged by appointment tools and/or client confirmation. PrismCore AI is not liable for inaccurate attendance reporting.

Eligibility Requirement: This refund guarantee applies only if the client maintains a minimum average ad spend of $35 per day for 90 consecutive days without interruption. Failure to meet this threshold may void eligibility for a refund.

Non-Payment & Termination: If payment is missed, a 5-day grace period applies. Afterward:

Systems may be paused (ads stopped, automations disabled),
Reminders will be issued (email/SMS),
If no payment is made within 14 days after the due date, full system access is revoked, and the contract is considered terminated.

No refunds are provided after services have been rendered unless the refund clause above is triggered.

4. Intellectual Property & Use Rights

All workflows, automations, code, and system architecture provided by PrismCore AI remain our intellectual property.

Clients may not:

Reverse engineer, resell, duplicate, or copy our systems or proprietary processes,
Provide access to third parties without our written consent.

Clients may:

Export their own lead data,
Continue using the system post-contract only if paying the $1,000/month continuation fee.

5. Disclaimers & Guarantees

PrismCore AI guarantees only that 10 qualified appointments will be delivered within the first 90 days, or the client is eligible for a full refund. We do not guarantee specific deal closures, income results, or ROI.

We are not liable for:

Missed appointments by qualified leads or the client,
Miscommunication between leads and the client,
Inaccuracies or omissions in lead-submitted information,
Real estate transaction outcomes following any booked appointment.

Our system is a marketing and appointment-setting tool, not a legal or financial advisor. Use of our service is at your own risk. We make no guarantees regarding financial results, sales, or commissions arising from booked appointments

6. Suspension & Termination

We reserve the right to suspend or terminate service:

For misuse, abuse, or breach of these Terms,
If a client engages in illegal, unethical, or deceptive practices,
Upon non-payment as outlined in Section 3.

We will provide notice and a short grace period for most violations; however, severe breaches (e.g., abuse of lead data, fraud, system tampering) may result in immediate termination without refund.

7. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Travis County, Texas.

8. Data Ownership & Handling

Clients maintain full ownership of lead data collected through our systems. PrismCore AI stores and processes this data solely for the purpose of delivering services. Upon termination, clients may request a full export of their data.

Inactive data may be deleted after 90 days without contact unless otherwise requested. PrismCore AI is not responsible for data loss if a client fails to export data before system access is terminated.

Privacy Policy
Your use of PrismCore AI services is also governed by our Privacy Policy, which outlines how we collect, use, and store data from clients and leads. By using our services, you consent to the data practices described therein.

9. Support

We provide support via email and SMS. Clients may also interact with AI-based assistants for common requests.

While no guaranteed response time is offered, we aim to respond promptly and resolve issues efficiently.

Comprehensive onboarding is provided for all new clients, including guided walkthroughs of system functionality, ad setup, and lead handling.

By purchasing our services or using our systems, you agree to these Terms of Service.
